Form 144 is the notice an insider must file when they intend to sell restricted or control stock above a small threshold ($50,000 or 5,000 shares in three months). It's filed BEFORE the sale — which makes it a leading indicator, whereas Form 4 reports the trade after it happens.
Form 144 announces an intent to sell; Form 4 records an executed trade within two business days. A typical sequence is 144 first, then a matching Form 4 when the sale actually executes. Compare this page with our insider trading feed to see which announced sales went through.
Not necessarily. Insiders sell for many non-bearish reasons — diversification, taxes, scheduled 10b5-1 plans — and a 144 doesn't even guarantee the sale happens. Size matters more than existence: a founder filing to sell a large slice of their stake is a very different signal from a routine plan sale.
