Both are triggered by crossing 5% ownership of a public company. Schedule 13D is the 'activist' form — filed by investors who may seek to influence management, board seats, or strategy. Schedule 13G is the passive version for investors with no control intent. A 13G-to-13D switch is itself a signal that an investor has turned activist.
Five percent is the SEC's line for mandatory public disclosure of a large stake. Crossing it forces an investor's hand into the open within days — often the first public evidence that a fund is building a major position or preparing a campaign.
Academic evidence shows a modest positive jump around 13D announcements on average, but long-run results vary widely by activist and situation. Filing activity is a starting point for research, not a buy signal — check the investor's history and the size of the stake.
